Welcome to HueShadows.com (the "Website"), operated by Hue Shadows LLC ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Website, as well as any purchases of photographic landscape prints ("Products") you make through the Website. By accessing the Website or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Website or purchase any Products.

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with the updated date. Your continued use of the Website after changes constitutes acceptance of the revised Terms.

1. Definitions

- "Products": Refers to photographic landscape prints, which may include open edition, limited edition, or artist's proof prints, as specified in the product description.

- "You" or "Customer": The individual or entity purchasing Products or using the Website.

- "Order": Any request to purchase Products submitted through the Website.

2. Use of the Website

You must be at least 18 years old or have legal capacity to enter into contracts to use the Website and make purchases. You agree to provide accurate, current, and complete information during registration or checkout. You are responsible for maintaining the confidentiality of any account credentials.

The Website and its content, including images, text, and designs, are protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without our express written permission.

3. Products and Pricing

All Product descriptions, images, and specifications are provided for illustrative purposes and are subject to change without notice. We strive to display colors and details accurately, but variations may occur due to monitor settings, printing processes, or manufacturing tolerances. Product sizes may vary by up to 2% due to production variances.

Prices are listed in USD and exclude taxes, shipping, and any applicable duties unless otherwise stated. We reserve the right to adjust prices at any time, but the price for your Order will be the one confirmed at checkout. Limited edition prints are produced in restricted quantities, and once sold out, no additional prints will be made for commercial sale. We may produce up to [e.g., 5] artist's proofs per image, which are not intended for sale.

4. Ordering and Payment

Orders are subject to availability and our acceptance. By placing an Order, you confirm that you have read the Product description and selected the correct size, edition, and options. We will send a confirmation email upon receipt, but a contract is formed only upon our acceptance and your payment.

Payment must be made in full at the time of Order via the secure payment methods provided (e.g., credit card, PayPal). You represent that you are authorized to use the payment method and that sufficient funds are available. We reserve the right to verify payment details and reject any Order without reason.

For custom or bespoke Orders (e.g., non-standard sizes), we will confirm details in writing before acceptance. Custom Products are made-to-order and may not be cancellable.

5. Shipping and Delivery

We aim to process and ship Orders within 5-7 business days of payment clearance, but delivery times are estimates and may vary due to demand, manufacturing, or unforeseen events. Shipping costs are calculated at checkout and are your responsibility.

Delivery is complete when the Product arrives at the address you provided. You must inspect the package upon receipt and report any visible damage to the carrier immediately. Risk of loss transfers to you upon delivery. For international shipments, you are responsible for all customs duties, taxes, and import fees. We are not liable for delays or non-delivery due to customs issues.

If an Order is undeliverable (e.g., incorrect address), we may charge additional fees for re-shipment or cancel the Order with a refund minus costs incurred.

6. Returns and Refunds

Due to the custom nature of photographic prints, all sales are final, and we do not accept returns for change of mind. However, if a Product arrives damaged or defective, notify us within 48 hours of delivery with photos and details. We will investigate and, if valid, provide a replacement or refund at our discretion.

Refunds, if approved, will be issued to the original payment method within 14 days, minus shipping costs. We do not cover return shipping unless the issue is our fault. Custom or limited edition Products are non-refundable unless defective.

7. Intellectual Property

All photographs and images on the Website and in Products are owned by us and protected by copyright laws. Purchasing a Product grants you a limited, non-exclusive, non-transferable license for personal, non-commercial use only. You may not reproduce, copy, scan, distribute, sell, or use the images commercially without our written permission and payment of applicable fees.

Violation of these rights may result in legal action. We retain the right to use images for promotional purposes, including on our Website or marketing materials.

8. Warranties and Guarantees

Please be advised that no warranties or guarantees are offered.

9. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Website or Products, including but not limited to loss of data, profits, or property damage.

Our total liability for any claim shall not exceed the amount paid for the relevant Product. We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, strikes, pandemics).

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Wayne County, Michigan, United States.

11. Privacy

Your use of the Website is also governed by our Privacy Policy, available at https://hueshadows.com. We collect and use personal information solely for Order fulfillment and do not sell it to third parties.

12. Miscellaneous

If any provision of these Terms is deemed invalid, the remainder shall remain in effect. These Terms constitute the entire agreement between us.
